Terms of service

1. Scope

These General Terms and Conditions (GTC) apply to all business relationships between MSO Meßtechnik und Ortung GmbH (hereinafter "Provider") and its business customers (entrepreneurs as defined in Section 14 BGB), who submit inquiries and conclude contracts through the website www.gnss24.de. Consumers as defined in Section 13 BGB are excluded from use.

2. Contract Language

The contract can be concluded in either German or English. Communication will also be conducted in the language chosen by the customer.

3. Contract Conclusion

  • The customer’s inquiry via the Provider’s website does not constitute a binding offer but rather a non-binding invitation for the customer to submit an offer.
  • A legally binding contract is only formed when the Provider accepts the inquiry via email and sends an order confirmation.
  • The inquiry and order confirmation are made in either German or English, depending on the customer’s choice.

4. Prices and Payment Terms

  • Prices: The prices indicated on the website are net prices (excluding applicable VAT) and represent the individual price. Tiered pricing is arranged via individual inquiry and negotiation by email.
  • Payment Methods:
  1. Advance payment for initial orders.
  2. Invoice with a payment term of 30 days net from the invoice date for regular customers.
  • Default Interest: In the event of payment delay, the Provider is entitled to charge default interest of 9 percentage points above the applicable base interest rate in accordance with Section 288 (2) BGB. An additional reminder fee of €40 is charged pursuant to Section 288 (5) BGB.

5. Delivery and Shipping

  • Shipping is carried out daily with DHL and UPS. Deliveries are limited to Germany. Delivery time will be specified in the order confirmation.
  • Transfer of Risk: The risk of accidental loss or deterioration of the goods passes to the customer as soon as the goods are handed over to the shipping service provider (Section 447 BGB).
  • Partial Deliveries: The Provider is entitled to make partial deliveries if this is reasonable for the customer. No additional shipping costs will be incurred for partial deliveries.

6. Retention of Title

The goods remain the property of the Provider until full payment has been received. The customer is not entitled to resell or process goods that are subject to retention of title.

7. Warranty and Liability

  • Warranty: The statutory warranty provisions apply. The customer is obliged to inspect the goods immediately upon receipt and report any visible defects in writing within 7 days (Section 377 HGB).
  • Limitation of Liability: The Provider is only liable for intent and gross negligence.
  1. For slight negligence, the Provider is only liable for breaches of essential contractual obligations (cardinal obligations). In these cases, liability is limited to foreseeable damages.
  2. Liability for loss of profit or other financial losses is excluded unless caused by intent or gross negligence.

8. Product Safety and Approvals

The technical sensors offered are provided with the necessary CE marking and, if applicable, additional approvals in accordance with relevant technical regulations. The customer is responsible for the proper use of the products and must ensure that the products meet the specific requirements of their application.

9. Exclusion of the Right of Withdrawal

Since MSO Meßtechnik und Ortung GmbH conducts business exclusively with entrepreneurs as defined in Section 14 BGB, there is no statutory right of withdrawal according to Section 312g BGB. A right of withdrawal is only available within the framework of statutory warranty rights.

10. Export and Customs Regulations

Shipping is limited to Germany. The customer is responsible for ensuring that the products are suitable for their intended use. If specific requirements apply for the use of the products, the customer must verify this independently.

11. Jurisdiction and Applicable Law

All legal relationships between the Provider and the customer are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is the Provider's registered office, provided the customer is a merchant as defined in the HGB.

12. Final Provisions

  • If any provision of these GTC is invalid, the remaining provisions shall remain effective.
  • The Provider reserves the right to amend these GTC at any time. Changes will be communicated to the customer in writing. They are deemed approved if the customer does not object in writing within 14 days.
